Terms & Conditions

Please read these Terms & Conditions carefully before using this Site or purchasing any product from Megatop LLC ("Megatop," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of this Site and your purchase of any products, services, software, or solutions ("Products") from Megatop through www.megatop.com.

References to "you," "your," and "Customer" mean the individual or entity accessing the Site, placing an order, or purchasing Products from Megatop.

These Terms, together with all policies, notices, disclaimers, and other terms referenced on this Site, form the complete agreement governing your use of the Site and your purchase of Products from Megatop. They supersede all prior or contemporaneous discussions, proposals, negotiations, understandings, and agreements relating to Products purchased through this Site.

By using this Site or placing an order, you agree that our policies, including our Return & Cancelation Policy, Shipping Policy, Privacy Policy, and International Sales & Shipping information, are incorporated into and form part of these Terms.

If you do not agree to these Terms, do not use this Site and do not purchase Products from it.

Account

1. If you create an account, you must provide accurate, complete, and current information and keep it updated.
2. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
3. You must notify us promptly of any unauthorized use of your account or any actual or suspected security breach.
4. You may not share your login credentials or permit unauthorized persons to use your account.
5. If you place an order on behalf of another person, company, or end customer, you represent that you are authorized to do so and to bind that person or entity to these Terms.
6. The party placing the order and the party identified on the order remain responsible for payment, order accuracy, shipping information, compliance, and all other obligations arising from the transaction.
7. Megatop may send order confirmations, shipment notices, tracking updates, invoices, and other transaction-related communications to the contact information provided with the order or account.

 

Termination

1. We may suspend, restrict, or terminate your account or access to the Site at any time, with or without notice, including if you breach these Terms or if we believe suspension is necessary for security, fraud prevention, compliance, or operational reasons.
2. Upon termination, your right to use the Site ends immediately.
3. Any provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, limitation of liability, governing law, and dispute-related provisions.

 

Order Acceptance

1. All orders are subject to acceptance by Megatop.
2. An order confirmation, acknowledgement email, automated receipt, or payment authorization does not constitute acceptance of your order.
3. An order is accepted only when we confirm acceptance in writing, ship the Product, or otherwise begin performance.
4. We reserve the right to accept, reject, limit, or cancel any order, in whole or in part, including due to pricing errors, availability changes, payment issues, suspected fraud, compliance concerns, shipping limitations, or circumstances beyond our reasonable control.
5. If we do not accept your order, we will generally notify you and, if applicable, refund amounts collected for unshipped items.

 

Order Cancellation

1. If you need to cancel an order, email us at sales@megatop.com as soon as possible and include your order number and reason for cancellation. Verbal cancellation requests are not accepted.
2. Orders may be canceled only with our written consent.
3. If an order has not yet been processed, we will attempt to cancel it and refund any eligible posted charges.
4. Orders for Products identified as non-cancelable, non-returnable, non-refundable, special-order, custom, built-to-order, made-to-order, non-standard, specially quoted, or otherwise restricted may not be canceled once processing, sourcing, production, or manufacturer commitment has begun.
5. If an order has already been processed, released to production, specially sourced, or committed with the manufacturer, we may be unable to cancel it or may require payment of cancellation charges, including a cancellation fee of up to 20% and any non-recoverable costs incurred.
6. Orders cannot be canceled or rescheduled after they have been tendered to the carrier. In those cases, follow the Return & Cancelation Policy after delivery. Do not refuse delivery except for visible shipping damage. Refused deliveries may be treated as unauthorized returns and may be subject to return shipping charges, restocking fees, and other deductions.
7. For any approved cancellation, Customer remains responsible for costs and expenses incurred by Megatop that cannot reasonably be recovered, including round-trip shipping costs, carrier charges, supplier charges, and costs caused by refusal, incorrect address information, failed delivery, or Customer delay.
8. We may cancel any order, in whole or in part, without liability, upon notice to the Customer.

 

Product Compliance

1. Megatop does not guarantee that any Product complies with laws, codes, regulations, standards, certifications, or requirements applicable to Customer’s intended use, installation, resale, export, or jurisdiction.
2. Customer is solely responsible for determining whether a Product is suitable, lawful, and compliant for the intended use and location.

 

Authorized Use of Product

1. Products are intended solely for the uses specified by the manufacturer.
2. Customer is solely responsible for testing, selecting, validating, installing, using, maintaining, and reselling each Product in accordance with manufacturer instructions and all applicable laws, regulations, codes, and standards.
3. Customer is also responsible for communicating appropriate warnings, limitations, and safe-use information to end users, employees, contractors, and other persons who may use or be affected by the Product.

 

Product Descriptions

1. All descriptions, illustrations, specifications, dimensions, compatibility references, certifications, and other Product information are approximate and provided for general informational purposes only.
2. Please review the Product page carefully before placing an order. If you have any doubt about compatibility, specifications, or suitability, verify the details directly with the manufacturer before purchase.
3. Megatop does not create manufacturer specifications and does not independently test, certify, validate, or safety-review most Products.
4. Products sold by Megatop are not designed, intended, or authorized for use in life-support, life-sustaining, flight control, nuclear, or similarly critical applications where failure could result in personal injury, loss of life, or catastrophic damage, unless the manufacturer expressly states otherwise in writing.

 

Software

1. Software Products are licensed, not sold. References to a purchase or sale of software mean the purchase of a license right only.
2. Megatop and its licensors retain all right, title, and interest in and to all Software Products and related documentation.
3. Customer receives only the license rights expressly granted by the applicable licensor and is responsible for complying with all license terms, restrictions, activation rules, and usage limitations.

 

Non-Cancelable & Non-Returnable Products

1. Megatop may designate certain Products as non-cancelable and non-returnable ("NC/NR"). NC/NR status may appear in Product listings, quotes, invoices, order confirmations, email communications, attachments, or related documentation.
2. If a Product is classified as NC/NR, we will make reasonable efforts to notify the Customer before processing and provide an opportunity to cancel before fulfillment or production begins when practicable.
3. The following Products are generally NC/NR, including but not limited to:
   • Products expressly marked or quoted as non-cancelable, non-returnable, non-refundable, special-order, built-to-order, custom-made, or non-standard.
   • Products specially manufactured, configured, programmed, cut, assembled, or sourced for a customer order.
   • Non-stocked Products, manufacturer-direct items, or drop-shipped items not accepted back by the manufacturer.
   • Consumables such as ink cartridges, toner, labels, ribbons, chemicals, adhesives, sealants, or similar items once opened or used.
   • Products requiring hazmat handling or otherwise restricted for transport, storage, resale, or return.
   • Installed, used, altered, damaged, sampled, incomplete, visibly worn, or non-resalable Products.
   • Products missing packaging, labels, parts, accessories, manuals, or documentation.
   • Discontinued, closeout, clearance, oversized, heavy, freight-only, disposable, refrigerated, perishable, sterile, controlled, temperature-sensitive, or shelf-life-limited Products.
   • Partial returns of Products sold in full-case quantities and individual components removed from kits, bundles, or assemblies.
   • Products for which the return request is made outside the applicable return window.

 

Errors & Inaccuracies

1. All images on the Site are for illustrative purposes only and may not exactly represent the actual Product.
2. Megatop does not guarantee that Product descriptions, pricing, photographs, colors, specifications, references, links, quantities, availability indicators, or other Site content are accurate, complete, current, or error-free.
3. We reserve the right to correct any error, inaccuracy, or omission at any time, including after an order has been placed, and to update information, cancel orders, or remove listings without prior notice.
4. We reserve the right to cancel or revise any order resulting from pricing, listing, image, specification, or description errors, even if an order acknowledgement or confirmation has been issued.
5. Product appearance may vary due to display settings, photography, packaging changes, manufacturer updates, or production changes.

• Colors: Actual Product colors may vary because of monitors, lighting, photography, packaging, or manufacturer changes.
• Size & Dimensions: Images may not reflect actual size or scale. Refer to the written description and manufacturer documentation.
• Illustrations: Images may show accessories, tools, contextual items, or multiple units not included with the Product.
• Quantity: Refer to the Product description for the exact included quantity.
• Manufacturer Updates: Manufacturers may change packaging, specifications, appearance, country of origin, included components, or accessories without notice.

Product packaging and materials may contain additional or different information from what appears on the Site. Always review the Product itself, including labels, warnings, directions, and enclosed documentation, before use.

 

Availability & Lead Time

1. Availability and lead times vary by Product. The Site does not display real-time inventory for all items, and all availability information is subject to change without notice.
2. Products marked "Typically in Stock" or with similar language are based on recent supplier or manufacturer information and are estimates only, not guarantees.
3. In-stock orders with approved payment are often shipped within 1 to 3 business days, excluding weekends and holidays, unless additional processing, verification, compliance review, supplier confirmation, or other delays apply.
4. If an item becomes unavailable or delayed, we may notify you with an updated estimate and available options, which may include waiting, modifying the order, partial shipment, or canceling the affected item.
5. If we cannot fulfill an order or any part of an order within a reasonable timeframe, we reserve the right to cancel the affected item or order and refund unshipped amounts.
6. If timing is critical, please contact us before ordering.

 

Backorders

1. Megatop may accept backorders for items expected to become available within a reasonable timeframe.
2. Estimated shipment dates for backordered items are based on supplier or manufacturer information and may change without notice.
3. Certain high-demand or limited-availability products may be subject to allocation and may be fulfilled on a first-in, first-out basis or another supplier-imposed allocation method.
4. Depending on the payment method, supplier requirements, or processing needs, payment for backordered items may be authorized, reserved, or processed at the time of order placement or later in the order cycle.
5. We reserve the right to hold orders for complete shipment or to make partial shipments as items become available.

 

Quotations & Prices

1. Prices listed on the Site do not include shipping, taxes, duties, brokerage, handling, accessorial charges, or other charges unless expressly stated.
2. Quotes are subject to change without notice unless the quote expressly states otherwise. If no validity period is stated, quotes are generally valid for 14 days.
3. Prices may be corrected or changed at any time because of manufacturer increases, supplier corrections, currency changes, tariff impacts, freight changes, listing errors, or other factors beyond our reasonable control.
4. If a pricing error is discovered, we may cancel the order, contact you for approval of the corrected price, or charge the lower corrected price where applicable.
5. Megatop is not obligated to sell a Product at an incorrect price if the error is genuine and reasonably recognizable as a mistake.

 

Minimum Advertised Pricing

1. Some brands and Product lines are subject to manufacturer minimum advertised pricing ("MAP") or similar restrictions.
2. When the Site displays "See Price in Cart" or similar language, the pricing presentation is intended to comply with manufacturer advertising restrictions.
3. Additional coupons, discounts, or promotional pricing may not apply to MAP-restricted brands or Products.

 

Payments

1. By placing an order, you authorize Megatop to charge the purchase price, shipping charges, taxes, and any other applicable amounts to your selected payment method.
2. We reserve the right to determine acceptable payment methods for any order and may require alternative payment arrangements based on order value, product type, destination, compliance requirements, or risk assessment.
3. We may withhold, delay, or suspend shipment if payment is not received, authorized, or verified.

Credit Cards

1. We accept major credit and debit cards, subject to verification and approval.
2. Billing information must match the information on file with the issuing bank or card provider.
3. Orders may be delayed, suspended, or canceled if additional verification is required.
4. Payment may be authorized and/or captured at the time of order placement or at shipment, depending on the order and processing requirements.
5. Debit cards may reflect temporary authorization holds that reduce available funds until the transaction is finalized or released by your bank.

Wire Transfer / EFT / ACH

1. For larger, custom, compliance-sensitive, or international orders, we may require payment by wire transfer, ACH, or EFT.
2. Unless otherwise agreed in writing, all payments must be made in U.S. dollars.
3. Orders awaiting payment may be held only for a limited time at our discretion.
4. Customer agrees to pay all amounts in full without offset, deduction, chargeback, or withholding except as required by law or expressly approved in writing by Megatop.

Credit Terms

1. Credit terms, if offered, are subject to approval and may be modified, suspended, or revoked at any time.
2. If payment is not received within agreed terms, we may suspend shipments, cancel open orders, revoke credit, and assess late fees of up to 1.5% per month on overdue amounts where permitted by law.
3. Customer is responsible for reasonable collection costs, including attorneys’ fees, where permitted by law.

PayPal

1. PayPal payments are accepted subject to PayPal’s terms, verification requirements, and seller protection eligibility.
2. PayPal may not be available for certain backorders, special-order items, or transactions that do not satisfy platform or order requirements.

International Orders

1. International orders may be subject to additional payment conditions, including prepayment by wire transfer, ACH, or other approved methods.
2. Payment terms for international orders may vary depending on Product, destination, order value, export controls, and compliance requirements.

 

Sales Tax

1. Where required by law, Megatop collects applicable sales, use, excise, or similar taxes based on the shipping destination and transaction details.
2. Customers claiming tax-exempt status must provide valid exemption documentation acceptable to Megatop. Tax may be charged until such documentation is received and approved.
3. Sales tax shown at checkout may be an estimate and may be adjusted at processing or shipment to reflect the correct applicable rate and rules.
4. If tax is not collected, Customer remains solely responsible for any use tax, reporting obligation, or similar compliance requirement.

 

Shipping

1. Megatop primarily accepts orders for shipment within the United States, including Alaska and Hawaii. International shipment may be available for select Products depending on manufacturer restrictions, export compliance, destination, and carrier limitations.
2. If your order is time-sensitive, please contact us before placing the order.
3. Orders generally ship Monday through Friday, excluding observed holidays.
4. Transit times shown at checkout refer only to estimated carrier transit time and do not include processing, verification, production, supplier lead time, compliance review, or other delays.
5. All delivery dates, transit times, and arrival windows shown on the Site, at checkout, in emails, or through carrier tracking are estimates only and are not guaranteed.
6. Megatop is not liable for carrier delays, missed delivery windows, weather disruptions, address issues, freight terminal delays, customs delays, or other shipping-related delays outside our reasonable control.
7. We may make partial shipments and invoice each shipment separately.
8. If a shipment is reported missing, delayed, or undelivered, Customer must notify Megatop promptly. Carrier claims may become unavailable if not opened within the carrier’s claim period.

Expedited Shipping

1. Expedited shipping may be available for select Products on a case-by-case basis depending on stock availability, supplier capability, order details, and cutoff times.
2. If delivery by a specific date matters, you must contact us before ordering. Expedited shipment is not guaranteed unless expressly confirmed in writing.
3. Hazmat items, oversized items, special-order Products, freight shipments, or supplier-direct items may not qualify for expedited shipping.
4. For urgent shipments, Customer may be asked to provide a UPS, FedEx, DHL, or other carrier account number.

 

Freight Shipping

1. If your order ships by freight truck, please review your rights and responsibilities at Shipping LTL Freight.
2. Liftgate, inside delivery, appointment delivery, residential delivery, limited-access delivery, re-delivery, storage, detention, and similar freight services may incur additional charges.
3. Unless otherwise agreed in writing, Products ship F.O.B. Origin. Title and risk of loss pass to the Customer upon tender of shipment to the carrier.
4. Carrier-imposed charges, surcharges, fuel fees, accessorial charges, and other freight-related amounts may be charged to the Customer.

 

Returns

1. Not all Products are eligible for return, cancellation, refund, or exchange. Return eligibility is governed by our Return & Cancelation Policy.
2. Eligible returns generally require an RMA, must be requested within 30 calendar days of delivery, and must be returned in original manufacturer packaging in new, unused, uninstalled, complete, and resalable condition unless the return is due to shipping damage, defect, or our error.
3. RMAs are generally valid for 14 calendar days from issuance. Products not shipped within that window may be refused.
4. Approved non-defective returns are generally subject to a 20% restocking fee. Higher fees may apply depending on manufacturer policy, Product condition, or return circumstances.
5. Original outbound shipping charges, including actual shipping costs incurred on orders that originally qualified for free shipping, may be deducted from refunds where permitted under the applicable policy.
6. Shipping damage, shortages, incorrect shipments, and visible freight issues must be reported promptly in accordance with the Return & Cancelation Policy and Shipping Policy.
7. We reserve the right to refuse or limit any return that appears fraudulent, abusive, inconsistent with policy requirements, or otherwise improper.

 

Software Returns

1. If you are experiencing issues with a software product, please contact us before requesting a return.
2. Software return eligibility is governed by our Software Return Policy and may depend on license status, download status, activation status, and compliance with destruction, deactivation, or uninstallation requirements.
3. System incompatibility, user environment issues, unsupported configurations, or failure to meet software requirements do not automatically make software defective or returnable.
4. We reserve the right to deny any software return or exchange request consistent with the applicable policy and license restrictions.

 

International Shipments

1. Megatop primarily ships within the United States. International shipments may be available depending on Product type, destination, manufacturer restrictions, export rules, and carrier availability.
2. Customer is responsible for all taxes, duties, brokerage fees, import charges, customs requirements, documentation, and country-specific compliance obligations associated with international shipments.
3. Megatop may require shipment using Customer’s or recipient’s carrier account for certain international orders.
4. If a freight forwarder is used, Customer remains responsible for accurate consignee information and for export and import compliance.
5. Products, software, and technical information may be subject to U.S. export laws and regulations. Customer agrees to comply with all applicable export, re-export, import, sanctions, embargo, and restricted-party laws and regulations and not to export, re-export, transfer, or supply Products in violation of law.

Order Verification

1. Megatop may verify any order to prevent fraud, unauthorized use of payment methods, export issues, sanctions violations, reseller abuse, or other compliance concerns.
2. Orders may be delayed while verification is completed, and additional documentation or confirmation may be required.
3. If we cannot verify an order within a reasonable period, we may cancel the order.

 

Technical Support

1. Megatop generally does not provide formal technical support, engineering advice, compatibility analysis, design review, or application-specific recommendations unless expressly stated otherwise in writing.
2. Any statements, comments, suggestions, or courtesy assistance provided by Megatop are offered without charge, without engineering responsibility, and without warranty or liability.
3. For technical specifications, application guidance, compatibility confirmation, troubleshooting, repair, or warranty service, customers should contact the manufacturer directly.

 

Manufacturer Warranty

1. Most Products sold on the Site, if covered at all, are covered only by the manufacturer’s warranty, if any.
2. Warranty terms vary by manufacturer and Product. Megatop does not independently provide any product warranty unless expressly stated in writing.
3. Customer may be required to work directly with the manufacturer for troubleshooting, repair, replacement, or warranty claims.
4. Warranty coverage may be limited or unavailable for Products shipped outside the United States or used outside their intended market.

Warranty Disclaimer

1. Except as expressly stated by the manufacturer, Megatop makes no warranty, express or implied, regarding any Product, the Site, or any information provided through the Site, and disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

 

Force Majeure

1. Megatop is not liable for delays, interruptions, failures, or inability to perform caused in whole or in part by acts of God, natural disasters, labor disruptions, war, terrorism, epidemics, pandemics, quarantines, embargoes, supply shortages, carrier disruptions, cyber incidents, power failures, communication failures, fires, accidents, severe weather, government action, or other causes beyond its reasonable control.

 

Successors & Assigns

1. These Terms bind and benefit the parties and their permitted successors and assigns.
2. Customer may not assign or transfer any rights or obligations under these Terms without our prior written consent.

 

Privacy Policy

1. Please review our Privacy Policy for information about how we collect, use, and handle data submitted through the Site.
2. Use of analytics, cookies, remarketing tools, advertising platforms, and related technologies is governed by the Privacy Policy and any related notice posted on the Site.

 

Security & Payment Protection

1. Payment and billing data are handled through third-party providers and security controls selected by Megatop. For additional information, please review our Security & Payment Protection page.

 

Intellectual Property

1. All content on the Site, including text, graphics, logos, images, layout, software, and other materials, is owned by Megatop, its suppliers, or its licensors and may not be copied, reproduced, distributed, republished, scraped, or used without prior written permission, except as permitted by law.

 

Links to Other Websites

1. The Site may contain links to third-party websites or services not owned or controlled by Megatop.
2. Megatop is not responsible for the content, availability, terms, privacy practices, or policies of any third-party website or service.
3. You should review the applicable terms and privacy policies of any third-party website you visit or service you use.

 

Limitation of Liability

1. To the fullest extent permitted by law, Megatop shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost business, loss of goodwill, downtime, delay damages, reputational harm, or cost of substitute goods or services, arising out of or relating to the Site, the Products, or these Terms.
2. To the fullest extent permitted by law, Megatop’s total aggregate liability arising out of or relating to any claim, Product, order, or transaction shall not exceed the amount actually paid by the Customer for the specific Product giving rise to the claim.
3. Megatop is not liable for carrier delay, non-delivery, partial delivery, force majeure events, manufacturer changes, compatibility issues, misuse, improper installation, improper storage, resale conduct, export conduct, or use of any Product contrary to manufacturer instructions or applicable law.

 

Disclaimer

1. The Site and all content, information, and services provided through it are offered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

 

Governing Law

1. These Terms and all transactions through the Site are governed by the laws of the State of Vermont, without regard to conflict-of-laws principles.
2. Any dispute arising out of or relating to these Terms, the Site, or any Product transaction shall be brought exclusively in the state or federal courts located in Vermont, and the parties consent to the jurisdiction and venue of those courts.

 

Severability

1. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

 

Indemnification

1. You agree to indemnify, defend, and hold harmless Megatop, its affiliates, suppliers, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your misuse of the Site, your violation of these Terms, your violation of law, your negligence or misconduct, or your use, installation, resale, export, or application of any Product.

 

Miscellaneous

1. No waiver by Megatop of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
2. These Terms may not be modified by Customer except by a written agreement signed by an authorized representative of Megatop.
3. Section headings are for convenience only and do not affect interpretation.

 

Modification of Terms

1. Megatop may update or modify these Terms at any time by posting the revised version on the Site.
2. Unless otherwise required by law, changes become effective upon posting and apply prospectively.
3. No additional or conflicting terms proposed by Customer shall bind Megatop unless expressly accepted in writing by an authorized representative of Megatop.

 

Complete Agreement

1. These Terms, together with all policies incorporated by reference, constitute the complete agreement between you and Megatop regarding use of the Site and purchase of Products through it.
2. By using the Site or placing an order, you represent that you have the legal capacity and authority to enter into this binding agreement for yourself or on behalf of the entity you represent.
